三、案例讨论1、提示:我方的做法是合理的。根据《公约》规定,对方在接受的同时要求提供商检证书,这种添加属于非实质性变更发盘条件。对于非实质性变更发盘条件,仍构成有效接受,除非发盘人及时提出异议。在此案中,我方立即表示拒绝,该该接受无效,合同不成立。

提示:美国休顿公司2月10日同意价格降至22美元,数量减至10万块的电传,就是一份新的发盘,有效期10天。我方公司有效期内(2月15日)表示接受,按照《公约》规定,对于已经被明确接受的发盘是不能撤销的。这时美国休顿公司只能受该发盘的约束,并按照发盘的内容规定签订合同,而不能取消发盘。
